Terms of Service

1. Parties and Acceptance

These Terms of Service ("Terms") constitute an agreement between GENEZ LLC ("Phoniq", "we") and individuals using our services ("User", "you").

By registering with Phoniq or using our services, you agree to these Terms.

2. Service Description

Phoniq is an AI-powered English conversation practice platform. The service includes:

  • An AI English coach that proactively calls users at scheduled times
  • Browser and in-app voice sessions as an alternative to phone calls
  • Automatic language analysis and scoring after each conversation
  • Level testing and progress tracking
  • A minute-based balance funded by minute packages or a monthly subscription

3. Account Creation

  • You must be at least 18 years old to create an account.
  • You are responsible for ensuring the accuracy of the information you provide.
  • You are responsible for maintaining the security of your account.
  • You may not transfer or share your account with others.

4. Payment and Billing

Pay-as-you-go Balance

Phoniq is strictly pay-as-you-go. Your minute balance is consumed only for the actual duration of each completed call, rounded up to the nearest minute after a short grace period. Calls you do not answer and calls that fail for technical reasons never debit your balance.

Funding Your Balance

You can fund your balance in two ways:

  • Minute Packages: One-time purchases of 50, 100, 250, or 500 minutes with a validity window of 15, 30, 45, or 60 days respectively. Unused minutes expire at the end of the validity window.
  • Monthly Subscription: Recurring plans (Starter, Growth) that grant a monthly minute allocation. Subscriptions renew automatically each month and can be cancelled at any time from within the app, in which case access continues until the end of the current billing period. A portion of unused minutes rolls into the next period, up to the cap disclosed on the pricing page. Renewal pricing may be updated over time on a per-customer basis, and you will be notified in advance of material changes.

Pricing and Currency

Per-minute pricing is set regionally and is shown in your local currency at checkout. Sessions conducted through the browser or in-app voice channel are priced at a discount compared to outbound phone calls, as disclosed on the pricing page. Prices may be updated over time; any update applies only to future purchases and future subscription renewals, never retroactively.

No Refund Cycle

Because Phoniq charges only for actual call duration, there is no prepayment and no per-call refund cycle. Where mandatory consumer-protection law grants you a statutory right of withdrawal for a one-time package purchase, that right applies until you start consuming minutes from that package. Subscription charges for a completed billing period are not refundable unless required by applicable law.

Payment Processing

Payments are processed on our behalf by a PCI-compliant payment service provider. Card details are never stored on Phoniq''s systems.

5. Acceptable Use

The following uses are prohibited:

  • Abusing the service with automated systems
  • Using the AI coach for off-purpose activities (threats, harassment, etc.)
  • Unauthorized access to another user''s account
  • Sharing content that infringes copyright
  • Reselling or commercially licensing the service without permission

6. Voice Recording and Transcript

Calls are recorded and transcribed. Explicit consent is obtained during registration. Voice recordings are stored for 30 days and automatically deleted. Transcripts and derived analysis are retained until you close your account, or for up to 24 months after inactivity, whichever comes first, after which they are deleted or irreversibly anonymised.

7. Intellectual Property

The Phoniq platform, design, software, and content belong to GENEZ LLC. Users retain personal rights over the content of their conversation transcripts.

8. Account Suspension

Your account may be suspended in the following cases:

  • Violation of these Terms
  • Payment issues (insufficient balance)
  • Posing a threat to system security

9. Limitation of Liability

Phoniq does not guarantee uninterrupted or error-free service. Except for direct damages caused by technical failures, we accept no liability for indirect damages.

9.1 AI Response Issues During Calls

During calls, the AI coach may occasionally experience delays or temporary unresponsiveness due to technical reasons. In such cases:

  • If the AI does not respond for 30 seconds, the call is automatically terminated by the system.
  • Because billing is pay-as-you-go, you are only charged for the actual conversation time. No prepayment is held, so there is nothing to refund for the portion of the call that did not take place.
  • If you choose not to hang up during an AI silence period and remain on the line, the resulting minutes are billable and are your responsibility.
  • For technical failures originating from our systems (connection errors, server issues), no charge is applied for that call.
  • We recommend ending the call if the AI does not respond within a few seconds. Since you are only charged for actual conversation time, there is no financial risk in hanging up and scheduling a new call.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, USA. For users in Turkey, applicable Turkish consumer regulations also apply.

11. Changes

Material changes to these Terms will be communicated by email 30 days in advance. The current version is always available on this page.

13. Apple App Store Users

If you downloaded the Phoniq mobile app from the Apple App Store, the following additional terms apply and, in case of conflict, supplement the rest of these Terms:

  • These Terms are concluded between you and GENEZ LLC only, and not with Apple Inc. Apple is not responsible for the app or its contents.
  • Your use of the app must comply with the Apple Media Services Terms of Use and the Apple App Store Usage Rules in force at the time of use.
  • Apple has no obligation to provide any maintenance or support for the app.
  • In the event of any failure of the app to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price for the app, if any. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app.
  • GENEZ LLC, not Apple, is solely responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
  • GENEZ LLC, not Apple, is responsible for the investigation, defence, settlement, and discharge of any third-party claim that the app or your use of it infringes that third party''s intellectual property rights.
  • You represent that you are not located in a country subject to a U.S. government embargo, or designated by the U.S. government as a "terrorist-supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
  • Apple and Apple''s subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
